The Management Board of PCC Intermodal S. A. (“the Company”) hereby informs that on 14 December 2017 the Supervisory Board of the Company, acting under art. 385 § 2 of the Commercial Partnerships and Companies Code, § 13 point 2 and § 14 Statutes of the Company, adopted a resolution to appoint Mr. Mariusz Antosiewicz as a member of the Supervisory Board.

Mr. Mariusz Antosiewicz graduated the Faculty of Law and Administration of the University of Gdansk in 1982. In 1985 he was granted the rights of legal adviser. In 1988 Mr. Mariusz Antosiewicz opened an individual law firm of legal counsel and provides legal services mainly to business entities. Mr. Mariusz Antosiewicz also has experience in working in supervisory bodies of companies. He is sitting in the Supervisory Board’s, including PCC Silicium S.A. Mr Antosiewicz will remain in office until the General Meeting approves his election or elects his successor.

In accordance with the statements made by Mr Mariusz Antosiewicz, he does not conduct any activities competitive to the Company’s business and does not participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a competitive capital company or member of a body of any competitive legal person, and is not entered in the Register of Insolvent Debtors kept pursuant to the provisions of the Act of 20 August 1997 on the National Court Register.

Legal ground: § 5 section 1 point 22 the Regulation of the Minister of Finance dated February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
