Current report no 50/2010 - Conclusion of significant agreements with companies forming a part of PCC capital group

The Management Board of PCC Intermodal S.A. (“the Company”) hereby announces that on December 29, 2010 agreements was signed between the Company and PCC Rokita S.A and also Ekologostyka sp.z.o o-forming a part of PCC capital group, for a total estimated amount of 15,129,828 PLN.
 
The agreement of the highest value was signed on December 29, 2010, with the PCC Rokita S.A. The subject of the agreement is to lease by PCC Intermodal S.A. a property situated in Brzeg Dolny in order to develop a container terminal and to perform its terminal activity. The agreement was concluded for a fixed term - 30 years. Under the agreement, the Company in the period to December 31, 2014  has the pre-emptive right  to all or part of the subject of lease. The conditions under which the contract was concluded do not deviate from market standards used in this type of contract. The contract value amounts to PLN 12,960,000 NET.

The criterion for deeming the concluded Agreement to be significant is that it exceeds 10% of the value of the Company shareholders’ equity.

Legal ground: § 5 section 1 point 3 of  the Regulation of the Minister of Finance dated February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
